General terms and conditions (Allgemeine Geschaeftsbedingungen) for services ordered through this website.
Last updated: 7 November 2026
1.1 These terms apply to all contracts between [Company name], [address], Germany ("we", "us") and customers who order services through this website or accept a written proposal from us. They apply to consumers and to business customers (entrepreneurs within the meaning of Section 14 of the German Civil Code, BGB).
1.2 Deviating terms of the customer do not apply unless we have expressly agreed to them in writing.
2.1 We provide consulting, automation, software integration, website development, digital marketing, social media and related digital services. The scope of each fixed-price package is described on its service page at the time of order. The scope of a custom project is defined in the written proposal accepted by the customer.
2.2 Prices shown as "from" are starting prices for the scope described. Additional work outside that scope is quoted in advance and only carried out after the customer's approval.
2.3 Third-party costs such as software subscriptions, hosting, domains, advertising spend or paid tools are not included in our prices unless expressly stated. The customer contracts with those providers directly and remains the owner of those accounts.
3.1 The presentation of services on this website is an invitation to order, not a binding offer. By completing the checkout the customer makes a binding offer to buy the services in the cart. The contract is concluded when we send an order confirmation by email or begin performance, whichever comes first.
3.2 For custom projects, the contract is concluded when the customer accepts our written proposal in text form (for example by email).
3.3 The contract language is English. We store the contract text and send it to the customer with the order confirmation.
4.1 All prices are in US dollars unless stated otherwise. For customers in Germany and the European Union, prices include the applicable German value added tax where it applies. For business customers in other EU member states who provide a valid VAT ID, the reverse-charge procedure applies. For customers outside the EU, no German VAT is charged; any import taxes or local taxes are the customer's responsibility.
4.2 Fixed-price packages are paid in full at checkout through the payment methods offered. Custom projects are invoiced as set out in the proposal, typically a deposit before work starts and the balance on delivery. Invoices are due within 14 days unless otherwise agreed.
4.3 We may suspend work on overdue accounts after notice.
5.1 Timely delivery depends on the customer providing the information, content, access and feedback requested, in particular the project brief after purchase. Delivery times are estimates and start once we have everything we need to begin.
5.2 The customer is responsible for the legality of the content, data and materials they provide and confirms that they hold the necessary rights to them.
5.3 Access credentials are shared only through secure channels we agree with the customer, never through the website forms.
6.1 Each service page states the number of revision rounds included. Revisions cover adjustments within the agreed scope; new requirements are treated as additional work under clause 2.2.
6.2 Deliverables are deemed accepted if the customer does not raise specific objections within 14 days of delivery, or when the customer puts the deliverable into productive use.
Consumers have a statutory right of withdrawal. The withdrawal instructions and the model withdrawal form are set out in our Refund and Cancellation Policy. Please note that the right of withdrawal expires early if we have fully performed the service with your express prior consent and your acknowledgement that you lose the right of withdrawal once the contract has been fully performed.
8.1 Upon full payment, the customer receives a non-exclusive, perpetual, worldwide right to use the deliverables created specifically for them for their own business purposes. Where exclusive assignment of rights is required, this must be agreed in the proposal.
8.2 We retain the rights to our pre-existing tools, templates, know-how and general methods, and may use these for other customers.
8.3 Third-party components (open-source software, plugins, stock assets, AI platforms) are subject to their own licences, which we identify to the customer on request.
Our services involve the use of artificial intelligence tools. Outputs produced with AI are reviewed by us before delivery, but AI systems can produce inaccurate or incomplete results. The customer remains responsible for reviewing content before it is published or used in business-critical decisions. We do not enter the customer's confidential data into AI systems that use such data for training unless the customer has agreed to this.
Both parties keep confidential all non-public information received from the other party in connection with the contract and use it only for the purposes of the contract. This obligation continues for three years after the end of the contract. A separate non-disclosure agreement can be concluded on request.
11.1 For consumers, the statutory warranty rights apply.
11.2 For business customers, we remedy defects reported within 12 months of acceptance by rework or replacement at our choice; if this fails, the customer may reduce the price or, for material defects, withdraw from the affected part of the contract. Defects must be reported in text form with a reproducible description.
11.3 We do not warrant specific commercial results (for example a particular number of leads, sales or search rankings), as these depend on factors outside our control.
12.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee.
12.2 For slight negligence we are liable only for the breach of material contractual obligations (obligations whose fulfilment is essential to the proper performance of the contract and on whose fulfilment the customer regularly relies), limited to the foreseeable damage typical for this type of contract.
12.3 Any further liability is excluded. The customer is responsible for regular backups of their own data and systems.
Monthly services (for example social media management) run for the period purchased and end automatically unless renewed. Longer retainers and their notice periods are set out in the proposal. The right to terminate for good cause remains unaffected.
14.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not deprive them of the protection of mandatory provisions of the law of their country of habitual residence.
14.2 If the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction is [City of the company's registered office], Germany.
14.3 The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr/. We are not obliged and not willing to take part in dispute resolution proceedings before a consumer arbitration board.
14.4 Should any provision of these terms be invalid, the remaining provisions remain unaffected.
